Terms of Service

These Terms of Service ("Terms") govern your access to and use of FairWork (the "Service"), operated by KS Engineering Studios ("we", "us", or "our") from Australia. The Service is offered primarily to users in Australia. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms are not legal advice. If you need certainty for your organisation, seek independent legal advice.

1. The Service

FairWork provides tools for teams to organise work—such as projects, tasks, workload views, activity history, documents, and related features. We may add, change, or remove features with reasonable notice where practicable. The Service is provided on an "as is" and "as available" basis.

2. Eligibility and accounts

You must be able to form a binding contract under Australian law (typically 18+ for personal accounts, or you must use the Service on behalf of an entity you are authorised to bind). You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at info.ks.engineeringstudios@gmail.com if you suspect unauthorized access.

3. Acceptable use

You agree not to:

  • Violate applicable laws or infringe others' rights.
  • Upload malware, probe or attack our systems, or bypass security measures.
  • Scrape, resell, or commercially exploit the Service without our written consent.
  • Harass, abuse, or harm other users or third parties through the Service.
  • Use the Service to store or distribute illegal content.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or puts the Service or users at risk.

4. Your content

You retain ownership of content you submit (for example, task titles, descriptions, documents, and comments). You grant us a limited, worldwide license to host, store, process, and display that content solely to operate and improve the Service for you and your team. You represent that you have the rights needed to grant this license.

5. Teams, invites, and collaboration

Features may allow you to invite others or share projects. You are responsible for invitations you send and for how collaborators use shared workspaces. Team owners or administrators may control membership and certain settings.

6. Third-party services

The Service may rely on third parties (for example, cloud hosting, authentication, email, or payments). Their use is subject to their respective terms and policies. We are not responsible for third-party services outside our reasonable control.

7. Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) ("ACL"). You may be entitled to a repair, replacement, or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You may also be entitled to have the services resupplied if they are not of acceptable quality and the failure is not a major failure. Nothing in these Terms limits those rights where they apply.

8. Disclaimers

Except for any rights or remedies that cannot be excluded under the ACL (or other applicable law), and to the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of liability

To the fullest extent permitted by the ACL and other applicable law, KS Engineering Studios and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Where liability cannot be excluded but can be limited under the ACL, our liability is limited (at our election) to resupplying the affected services or paying the cost of resupply. Where a cap is permitted for non-ACL claims, our aggregate liability for claims arising out of or related to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the claim or (b) one hundred Australian dollars (AUD $100), if you have not paid fees during that period. Nothing in this section limits liability that cannot be limited under Australian law (including for fraud or wilful misconduct).

10. Indemnity

You will defend and indemnify KS Engineering Studios and its affiliates, officers, and agents against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms, except to the extent caused by our willful misconduct.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Service with reasonable notice where feasible. Provisions that by their nature should survive will survive termination.

12. Changes

We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes may be communicated through the Service or by email where appropriate. Continued use after changes become effective constitutes acceptance of the revised Terms.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Commonwealth of Australia and the State of New South Wales. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of New South Wales, Australia, and the Commonwealth of Australia (including the Federal Court of Australia where applicable). If you are a consumer resident in another Australian State or Territory, you may also have rights under the laws of that place where those laws cannot be contracted away.
